Welcome to Vivid Visionaries. These Terms of Service ("Terms") govern your access to and use of the website located at vividvisionaries.com (the "Site"), and any services, sessions, programs, events, digital content, and products offered by Vivid Visionaries ("Vivid Visionaries," "we," "us," or "our"). Please read these Terms carefully. By accessing or using the Site or any of our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

1. Acceptance of Terms

By accessing the Site, booking a session or service, purchasing a product, registering for an event, or otherwise engaging with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. These Terms constitute a legally binding agreement between you and Vivid Visionaries.

2. Eligibility

You must be at least 18 years of age to use the Site, book services, or make purchases. By using the Site or our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. Services intended for minors, if any, must be arranged by and with the consent of a parent or legal guardian.

3. Our Services

Vivid Visionaries is a wellness and creative services agency. Our offerings may include, without limitation:

• Wellness and holistic services and sessions (including services provided by independent practitioners such as doulas, bodyworkers, and other wellness professionals);
• Creative, branding, web design, and marketing services;
• Workshops, classes, retreats, ceremonies, and events;
• Digital content, downloadable materials, and online resources; and
• Physical or digital products offered for sale.

We reserve the right to modify, add, or discontinue any service, program, product, or event at any time without notice.

4. Independent Practitioners

Certain services may be provided by independent practitioners who use our space or brand under a separate arrangement. These practitioners are independent contractors and are solely responsible for the services they provide. Vivid Visionaries does not employ, supervise the clinical or professional judgment of, or guarantee the outcomes of any independent practitioner's services. Any dispute regarding services rendered by an independent practitioner is between you and that practitioner.

5. Health, Wellness, and Results Disclaimer

Not medical advice. The services, sessions, content, and materials offered by Vivid Visionaries are provided for general wellness, educational, and informational purposes only. They are not a substitute for professional medical, psychological, psychiatric, or other licensed healthcare advice, diagnosis, or treatment. Vivid Visionaries and its practitioners are not, unless expressly stated and appropriately licensed, medical providers.

Consult a professional. Always seek the advice of your physician or another qualified health provider with any questions you may have regarding a medical or mental health condition. Never disregard professional medical advice or delay seeking it because of something offered through our Site or services. Do not begin, stop, or change any medical treatment based on our content.

Individual results vary. Any references to outcomes, transformation, healing, growth, or results are illustrative only and are not guarantees. Results depend on many factors unique to each individual, and we make no representation or warranty that you will achieve any particular result.

Your responsibility. You are responsible for evaluating whether a service is appropriate for you and for disclosing any relevant health conditions to your practitioner. By participating, you assume full responsibility for your own physical, mental, and emotional wellbeing.

6. Assumption of Risk

Participation in wellness sessions, bodywork, ceremonies, retreats, events, and similar activities may involve inherent risks, including physical, emotional, and psychological risks. By booking or participating, you knowingly and voluntarily assume all such risks. You agree that you are participating of your own free will and that you are in a physical and mental condition suitable for the activity. If you have any doubt about your ability to participate safely, consult a qualified professional before doing so.

7. Bookings, Fees, and Payment

Pricing. Prices for services, sessions, events, and products are listed on the Site or provided at the time of booking and are subject to change.

Payment. Payment is due at the time of booking or purchase unless otherwise agreed in writing. We accept the payment methods indicated at checkout or communicated to you directly.

Deposits. Certain events, retreats, or programs (such as our 200-Hour YTT or seasonal retreats) may require a non-refundable deposit to reserve your place.

Taxes. You are responsible for any applicable sales or other taxes.

Authorization. By providing a payment method, you authorize us (or our third-party payment processor) to charge the applicable amounts.

8. Cancellations, Rescheduling, and Refunds

Unless a specific policy is stated for a particular service, event, or product at the time of booking, the following applies:

• Sessions and appointments: Cancellations or rescheduling requests must be made at least 48 hours in advance. Cancellations made after that window, or missed appointments ("no-shows"), may be charged in full.
• Events, retreats, and programs: Deposits are non-refundable. Depending on how close to the event date you cancel, some or all of the remaining balance may be non-refundable as outlined in your specific program agreement.
• Digital products and downloadable content: Due to their nature, digital products are generally non-refundable once accessed or downloaded, except where required by law.
• Physical products: Returns, if accepted, are subject to the policy stated at the time of purchase.

We reserve the right to cancel or reschedule any service or event. If we cancel, you will be offered a rescheduled option or a refund of amounts paid for the cancelled service, at our discretion. We are not responsible for incidental costs you may incur (such as travel or lodging).

9. Intellectual Property

All content on the Site — including text, graphics, logos, images, audio, video, course materials, digital downloads, and the selection and arrangement thereof — is the property of Vivid Visionaries or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and any content you have lawfully purchased for your own personal, non-commercial use. You may not reproduce, distribute, modify, publicly display, sell, resell, or create derivative works from any of our content without our prior written permission. Any digital materials provided to you as part of a program or purchase are for your individual use only and may not be shared, copied, or redistributed.

10. User Content

If you submit reviews, testimonials, comments, images, or other content to the Site or our social channels ("User Content"), you grant Vivid Visionaries a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, adapt, publish, and display that User Content in connection with our business and marketing. You represent that you own or have the rights to any User Content you submit and that it does not violate the rights of any third party or any law. We reserve the right to remove any User Content at our discretion.

11. Media Release

By attending our in-person events, retreats, sessions, or ceremonies, you acknowledge that photographs, video, or audio may be recorded. You grant Vivid Visionaries permission to use your likeness in such recordings for promotional, educational, and marketing purposes without further compensation. If you do not wish to be recorded, please notify us in writing in advance and, where practical, we will make reasonable accommodations.

12. Acceptable Use and Conduct

You agree not to:

• Use the Site or services for any unlawful purpose or in violation of these Terms;
• Harass, threaten, or harm any staff member, practitioner, participant, or other person;
• Disrupt any event, session, or community space;
• Attempt to gain unauthorized access to the Site, other accounts, or our systems;
• Introduce any virus, malware, or harmful code;
• Scrape, copy, or harvest content or data from the Site without permission; or
• Impersonate any person or misrepresent your affiliation with any person or entity.

We reserve the right to refuse service, remove participants, or terminate access for anyone who violates these standards, without refund where the violation warrants it.

13. Third-Party Links and Services

The Site may contain links to third-party websites or use third-party services (such as payment processors, scheduling tools, or content platforms). We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and policies.

14. Disclaimer of Warranties

THE SITE, SERVICES, CONTENT, AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SPECIFIC RESULT WILL BE ACHIEVED.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIVID VISIONARIES AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE OR PRODUCT GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify, defend, and hold harmless Vivid Visionaries and its owners, members, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or services, your violation of these Terms, or your violation of any rights of a third party.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site or services will first be attempted to be resolved informally by contacting us. If the dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the state and federal courts located in Ulster County, New York, and you waive any objection to venue or inconvenient forum.

18. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent version. Changes are effective when posted. Your continued use of the Site or services after changes are posted constitutes your acceptance of the revised Terms.

19. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
